I. Scope
These terms and conditions constitute the entire agreement between the parties hereto and supersede all prior communications, representations, or agreements, whether oral or written, between the parties hereto with respect to the subject matter hereof.

II. Application
These terms and conditions apply to all sales or services provided by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC®, whether by purchase order or otherwise. Acceptance by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® of any order or request for services is expressly limited to the terms and conditions set forth below. Any different or additional terms and conditions proposed in a purchase order or otherwise will be rejected by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® and will not be incorporated into this agreement.
No one other than a duly authorized officer of TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® may modify the terms hereof, and any modification must be in writing and signed by such duly authorized officer. If these terms are not acceptable, you must notify TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® immediately.

III. Prices
Unless otherwise stated in the acknowledgment, prices are "TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® ex-works," excluding freight, customs duties, or ancillary import charges. The Customer will pay all taxes due on any order, including, but not limited to, sales, use, consumption, or any direct or indirect taxes of a similar nature from federal, state, county, or municipal origin. If TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® is required to collect and/or pay such taxes, the Customer will reimburse TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® for the full amount. TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® is not subject to the previous prices in the case of new orders, including subsequent orders.
Any fees paid by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® to internet sites as a result of a Customer's request to register on such sites to retrieve purchase orders, quotations, or similar correspondence, may be added to the TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® invoice and will be paid by the Customer.

IV. Obligation to Deliver and Obligation to Receive
TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® commits to selling only the quantity of products specified in the Customer's purchase order. Changes requested by the Customer in quantities, specifications, or delivery schedules may only be made with the written consent of TECNOLISTO INTERNATIONAL SERVICES GROUP LLC®. Any changes requested by the Customer and accepted by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® that cause an increase in costs to TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® under this agreement or in the time required for performance will result in an equitable adjustment in the price.
Delivery will be made on or around the date indicated in the acknowledgment by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC®, provided the following have been received: (i) all documents necessary to fulfill the order, (ii) a prepayment, if required, and (iii) the timely provision of materials, to the extent necessary.
Notwithstanding the foregoing, TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® cannot be responsible for delays due to any cause beyond its control, including, but not limited to, acts of God, war, acts of the enemy, hostilities, civil commotion or sabotage, acts of government, fires, floods, explosions or other catastrophes, accidents, epidemics, quarantine restrictions, labor disputes, embargoes or other delays in transportation of any kind, inability to obtain fuel or other materials, delays incurred by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® suppliers due to such causes, or communication failures due to bandwidth congestion, viruses, unauthorized access, power outages, or similar causes. Any cause of delay, though existing at the date of acknowledgment by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC®, will extend the performance time of TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® by a period or periods equivalent to the delays caused and additionally as necessary to enable TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® to make delivery through the exercise of reasonable diligence under the existing circumstances once such delay causes are removed.

V. Packaging, Shipping, Transfer of Risk
Unless otherwise agreed in writing, TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® will select the packaging, shipping type, and shipping route at its best discretion. The risk of loss passes to the Customer when the delivered item leaves the facilities of TECNOLISTO INTERNATIONAL SERVICES GROUP LLC®, even with a delivery paid in advance. If there is a delay in shipping the item and the Customer is responsible for this delay, the risk of loss passes to the Customer when notified that the item is ready for shipment. At the Customer's written request, the goods may be insured at the Customer's expense against storage damage, breakage damage, transport damage, and fire damage.

VI. Warranty and Liability for Defects
Unless specifically stated otherwise in writing, TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® only warrants that the products sold will conform to igus' standard specifications or other documented and mutually agreed specifications. Any defect must be reported to gus® within ten (10) business days of receipt of the goods. All return requests must be sent to TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® within sixty (60) days of receipt of the goods. No returns will be accepted without a "Return Authorization Number". All returns must be received by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® within thirty (30) days of the issuance of the Return Authorization Number. Returns are subject to a minimum restocking fee of twenty (20%) percent. The actual restocking fee will be determined by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® at the time of issuing the Return Authorization Number. If the return is deemed an error by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC®, TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® will provide a collection account number to return the parts by ground shipment only from the original destination. TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® reserves the right to reject returns that are not in resalable condition. (The determination of "resalable merchandise" will be made solely by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC®.)

VII. General Liability Limitations
In all cases, TECNOLISTO INTERNATIONAL SERVICES GROUP LLC®'s liability to the Customer is expressly limited to the replacement or repair of defective products at its discretion. The Customer will have no recourse other than the remedies mentioned above. IN NO EVENT AND UNDER NO CIRCUMSTANCES WILL TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® BE LIABLE FOR CONSEQUENTIAL DAMAGES OF ANY KIND.

VIII. Payment Terms
All orders require prepayment or may require a credit card. No early payment discounts are granted for credit card or C.O.D. payments. TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® reserves the right to refuse checks or drafts. TECNOLISTO INTERNATIONAL SERVICES GROUP LLC®'s rights under this section are in addition to all other rights and remedies available to TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® in the event of Customer default.

IX. Customer Indemnity
The Customer will defend, indemnify, and hold harmless TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® and its employees and agents against all sums, costs, liabilities, losses, obligations, demands, actions, damages, penalties, fines, interests, and other expenses (including reasonable attorney fees) that TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® may incur as a result of (i) the ownership, maintenance, transfer, transportation, or disposal of goods sold hereunder by the Customer, (ii) the Customer's use of the goods sold hereunder, (iii) the Customer's failure to test the goods or ensure that the goods are suitable for the Customer's intended purpose, (iv) any infringement or alleged infringement of others' intellectual property rights arising from the Customer's specifications, and (v) the Customer's violation or alleged violation of any federal, state, county, or local law or regulation, including, but not limited to, laws and regulations governing product safety, labeling, packaging, and labor practices.

X. No Waiver
Any concession or indulgence made by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® or its failure to insist on compliance with any of these terms and conditions will not be considered a waiver of other terms, whether equal or similar. No waiver by TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® of any breach or provision hereof will be considered a waiver of any subsequent breach or provision.

XI. Governing Law
The terms and conditions will be deemed established and governed by the laws of the state of Nevada. Any legal action will be resolved in the courts of the state of Nevada.

XII. Severability
If any provision of this Agreement, or parts thereof, is deemed invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions will not be affected or impaired in any way.

XII. Material Supplied by the Customer
If the Customer supplies material to TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® for use in the manufacture of products, TECNOLISTO INTERNATIONAL SERVICES GROUP LLC® must be contacted before sending the material, and a no-charge purchase order must be issued.
